Terms & Conditions – 360 Administration and Systems (Pty) Ltd Referral Programme
By submitting a referral to 360 Administration and Systems (Pty) Ltd (“360”, “we”, “us”) and ticking that you accept these terms, you agree to the Referral Programme Terms and Conditions below.
1. How the referral programme works
1.1 A Referral is a new potential client whose details you submit to us via our referral form.
1.2 A Referral Client is a referral who signs an engagement / service agreement with 360 and is onboarded and a paying client.
1.3 A Referral Fee is the amount we pay you for a successful Referred Client, as described in section 3 below.
2. Who can earn a Referral Fee
2.1 To qualify for a Referral Fee, you must:
· Provide accurate and complete details of the person or business you are referring; and
· Have their permission to share their details with 360.
2.2 A Referral will not qualify for a Referral Fee if:
· The referred person or business is already a client of 360;
· 360 is already in discussions with them from another source; or
· The same Referral has already been submitted by someone else and accepted by 360.
2.3 360 reserves the right, in its sole discretion, to decide whether a Referral qualifies for the Referral Programme.
2.4 If you are an employee, director, officer or contractor of a business that is a client of 360, it is your sole responsibility to ensure that:
· Making the Referral; and
· Receiving any Referral Fee does not breach your contract of employment, your employer’s internal policies, any code of conduct or any conflict-of-interest rules that apply to you.
2.5 360 will not:
· Obtain, check or manage any approval from your employer on your behalf; or
· Become involved in any dispute between you and your employer (or any other third party) arising from your participation in this Referral Programme or receipt of a Referral Fee.
2.6 By taking part in the Referral Programme, you confirm that you have obtained any approvals or permissions required from your employer or any other relevant party.
3. Referral Fee and when it is paid
3.1 For each qualifying Referred Client, the Referral Fee is:
3.1.1 R5,000 (five thousand Rand) if the Referred client signs up for a 360 Standard / full subscription service; and
3.1.2 R2,000 (two thousand Rand) if the Referred Client signs up for a 360 Lite service.
3.2 The applicable Referral Fee in clause 3.1 is only earned and becomes due and payable when all of the following conditions are met:
· The Referred Client has signed our engagement or service agreement; and
· The Referred Client has been invoiced in the normal course of our services; and
· The third invoice issued to that Referred Client (under either the Standard or Lite service, as applicable) has been accepted and fully paid.
3.3 No Referral Fee will be paid if:
· The Referred Client cancels or stops using our services before the third invoice is issued;
· The third invoice is not paid in full; or
· The third invoice is written off or cancelled.
3.4 We will use reasonable efforts to pay the Referral Fee within 30 (thirty) days after all the conditions in clause 3.2 have been met and, where required, after you have provided us with any invoicing, banking or compliance information we reasonably request.
3.5 You are responsible for any tax, VAT or other statutory obligations on the Referral Fee you receive.
4. Multiple referrers for the same client
4.1 If more than one person claims to have referred the same client, 360 will decide, in its sole discretion, which Referrer (if any) is entitled to the Referral Fee.
4.2 We will not pay duplicate Referral Fees for the same Referred Client.
5. No employment or agency relationship
5.1 Taking part in the Referral Programme does not make you an employee, agent, partner or representative of 360.
5.2 You may not:
· Represent yourself as acting on behalf of 360;
· Sign any documents or make any commitments for 360; or
· Offer discounts or special terms in our name.
6. Fraud, abuse and misuse
6.1 We may withhold or cancel payment of a Referral Fee, and/or remove you from the Referral Programme, if we reasonably believe there has been fraud, abuse, misrepresentation or a breach of these Terms.
7. Changes to the Referral Programme
7.1 We may change, suspend or end the Referral Programme and/or these Terms at any time.
7.2 Any change will not affect Referral Fees that have already become due and payable before the effective date of the change.
8. Privacy
8.1 By submitting a Referral, you confirm that you have obtained the referred person’s consent to share their personal information with us for follow-up and onboarding purposes.
8.2 We will process personal information in line with applicable data protection laws and our privacy policy.
9. Governing Law
9.1 These Terms are governed by the laws of the Republic of South Africa.
9.2 Any dispute relating to these Terms or the Referral Programme will be dealt with by the South African courts.
